Agreement Terms

SERVICES & SCOPE

WyVE provides digital marketing, branding, web development, and infrastructure engineering services. All deliverables are governed by separate, signed proposals (Client Service Agreements) that outline specific timelines, milestones, and financial terms.

ENGAGEMENT MODEL

Project-based or retainer engagements with clearly defined scope documents.

SERVICE GUARANTEE

All deliverables meet the specifications outlined in the signed CSA.

USER OBLIGATIONS

Clients must maintain the asset pipeline and provide system access within agreed-upon sprint durations. Failure to provide timely approvals or assets may impact delivery schedules.

ASSET PIPELINE

Supply of all brand assets and approvals required for high-fidelity execution.

TIMELINE SYNC

Responsibility for delays resulting from stalled approvals or missing protocols.

INTELLECTUAL PROPERTY

Upon final settlement of project fees, ownership of custom digital assets is transferred to the client. WyVE retains rights to underlying frameworks, proprietary methodologies, and reusable components.

PAYMENT TERMS

All projects require a 50% advance before commencement. The remaining balance is due upon delivery or at milestones defined in the CSA. Late payments attract a 2% monthly interest charge. All prices are exclusive of applicable taxes.

LIABILITY LIMITS

WyVE's aggregate liability is strictly limited to the total project fee collected for the specific deliverable in question. We disclaim all liability for indirect, incidental, consequential, or punitive damages.

CONFIDENTIALITY

Both parties agree to maintain confidentiality of all proprietary information exchanged during the engagement. This obligation survives the termination of any agreement for a period of 2 years.

TERMINATION

Either party may terminate by providing 15 days' written notice. Work completed up to the date of termination must be compensated. Outstanding dues remain payable regardless of termination.

GOVERNING LAW

These terms are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka.

AMENDMENTS

WyVE reserves the right to update these terms at any time. Changes take effect upon publication on this page. Continued engagement after changes constitutes acceptance. Material changes will be communicated via email to active clients.
